TSF Investments’ board approved the sale of its entire 3.74% stake in TVS Holdings on October 26, 2026. The proposed transaction covers 755,682 equity shares and is expected to be completed on or before November 2, 2026, the company said in an exchange filing.

TSF Investments plans full exit from TVS Holdings

The shares would be sold to existing members of TVS Holdings’ promoter and promoter group. The approval allows execution through the stock exchanges’ block-deal window or another mechanism permitted under the regulatory framework.

The sale price will be the applicable price on the execution date. The shares have a face value of ₹5 each, but that is not the agreed sale price; the announcement does not specify total proceeds.

The seller, TSF Investments, was formerly Sundaram Finance Holdings. TVS Holdings was previously known as Sundaram Clayton. The proposed sale would dispose of the seller’s entire holding in TVS Holdings, rather than reduce it only partially.

Completion remains pending

Board approval does not mean the shares have already been sold. November 2 is the company’s expected completion deadline, while execution and pricing remain pending.

TSF Investments said the sale is not a related-party transaction. It also stated that Sundaram Finance, its promoter, and members of its own promoter group are not interested in the transaction. That disclosure is distinct from the proposed buyers’ membership of TVS Holdings’ promoter and promoter group.
