India filing deadlines for companies’ fiscal 2025–26 financial statements and annual returns have been extended after stakeholders reported difficulties using the corporate affairs ministry’s MCA 21 portal.

India filing deadlines and affected forms

Under the ministry’s October 24, 2026 circular, companies can file FY26 financial statements through December 31, 2026, without an additional fee. The previous deadline was October 31.

Annual returns for the same fiscal year can be submitted without an additional fee through January 31, 2027, instead of November 30, 2026.

The financial statement extension covers AOC-4, AOC-4 (CFS), AOC-4 (XBRL), AOC-4 NBFC (Ind AS) and AOC-4 CFS NBFC (Ind AS). The annual return extension applies to MGT-7 and MGT-7A.

Annual meeting requirements remain unchanged

The ministry said the circular does not extend the statutory time for holding annual general meetings. Companies that have not met the applicable meeting timelines remain liable under the relevant provisions of the Companies Act.

Ordinarily, financial statements must be filed within 30 days of an annual general meeting and annual returns within 60 days. The Institute of Company Secretaries of India said the extended filing timelines provide relief during the technical transition to the MCA 21 V3 portal.
