Idorsia partnership plans announced on October 29, 2026, would provide CHF 120 million to commercialize its hypertension medicine TRYVIO, also sold as JERAYGO. The proposed financing from Idorsia and investors in its special-purpose vehicle remains subject to approvals and final documentation.
Key Takeaways
- SPV noteholders would provide CHF 72 million, while Idorsia would contribute CHF 48 million over two years, subject to applicable consent.
- The proposal offers investors new notes and an earn-out, and would give Idorsia a share of global aprocitentan net revenue.
- Idorsia anticipates the required approvals and final documentation by the end of 2026, but completion is not assured.
How the Idorsia partnership would work
Under the proposal, noteholders in Idorsia Investments SARL would provide CHF 72 million in exchange for new notes and a 12% earn-out on the vehicle’s three assets: aprocitentan, selatogrel and cenerimod. The earn-out would begin after the vehicle’s debt has been fully repaid.
Subject to applicable consent, Idorsia would contribute CHF 48 million over two years for market access, medical affairs, marketing and sales. In exchange, it would receive 30% of global net revenue from aprocitentan from the agreement’s effective date and retain the other 88% of the upside value of the vehicle’s assets after its notes have been fully repaid.
The proposed investment is fully backstopped by a group representing a significant majority of the notes, and all noteholders would have the opportunity to participate on the agreed terms. Idorsia said the transaction still requires noteholder approvals and final documentation, with no assurance it will be completed.
Launch strategy and earlier financing plan
The financing would support a specialist-focused US launch and a phased commercialization approach in Europe and Canada. Idorsia plans to focus initially on hypertension centers, nephrologists and other specialists, while seeking reimbursement and patient access.
The company’s July financing outline described a potential model without allocating Idorsia capital. The October proposal instead includes a planned CHF 48 million company contribution, subject to consent.
Idorsia’s business plan projects breakeven in 2029, followed by profitable growth. That projection is a company expectation, not an achieved result.
Where the medicine is approved
Aprocitentan is approved in the US as TRYVIO for adults whose systemic hypertension is not adequately controlled by other drugs, in combination with other antihypertensives. It has been commercially available there since October 2024.
As JERAYGO, the medicine is approved for resistant hypertension alongside other antihypertensives in the European Union, the UK, Switzerland and Canada.
Next milestone
Idorsia plans to host a webcast with additional context in the coming week.
